01Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Prefitara, a brand of The Nelson M Group LLC ("Prefitara," "we," "us"). They govern your use of prefitara.com and related services, including email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. Disagree with any part of them? Then please do not use the Services.

02What Prefitara is, and is not

Prefitara is an information service. We publish general, plain-language details about how clinical research works, how to read a study listing, what informed consent means, and which inquiries to ask a study team, and let visitors opt in to related updates. We do not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we do not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Prefitara, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We do not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

03Eligibility

You may use the Services only if you are 18 or over, are in the United States, and are able to agree to a binding contract. Information you submit must be about you, or about a person who has authorized you to submit it.

04Your information and accuracy

You agree to give accurate and current information and to update it if it changes. You may only provide a mobile number that you own or are authorized to use. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

05Communications and text-message consent

If you opt in, you agree that we may contact you by email and, if you check the applicable boxes, by automated text messages as described in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. • STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 877-550-0823.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

07Acceptable use

You must not: (a) enter false or misleading details, or another person's details; (b) use the Services for anything unlawful, fraudulent, or abusive; (c) interfere with the Services or try to gain access you are not allowed; (d) submit forms with bots or other automated tools; (e) copy, scrape, or resell our content without our permission; or (f) pretend to be someone else. We may suspend or end your access if you do any of these.

08Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (for instance government agencies, hospitals, or patient organizations) belong to third parties. We endorse no product, plan, or provider, and we take no responsibility for the conduct, content, or outcomes of any third party. Your relationship with any doctor or study team is between you and them.

09Intellectual property

The Services, including the Prefitara name, logo, text, graphics, and design, are owned by us or our licensors and covered by intellectual property laws. Your license to view and use the Services is limited, revocable, non-exclusive, and non-transferable, and is for personal, non-commercial uses. Site photographs are used under their respective free-use licenses.

10Disclaimers

We supply the services and all content "as is" and "as available" and disclaim all warranties, express or implied, among them implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation, or the delivery (or timely delivery) of any message.

Prefitara does not offer financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

To the maximum extent the law permits, Prefitara and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12Indemnification

You shall indemnify and hold harmless The Nelson M Group LLC and its affiliates and personnel from all claims, damages, and expenses (among them reasonable attorneys' fees) arising from violating these Terms, misusing the Services, or providing a phone number or other information without authorization.

13Disputes, governing law, and arbitration

Informal resolution first. Please let us know about any problem first, at [email protected] so that we have 30 days to try to resolve it.

Binding arbitration. Except where a matter belongs in small claims or involves injunctive relief for intellectual-property misuse, you and Prefitara or The Nelson M Group LLC agree that any dispute arising out of or relating to these Terms or the Services will be decided by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in your county of residence or by video or phone, as you select. The arbitrator may award the same individual relief as a court, and judgment may be entered in any court of competent jurisdiction.

Class-action waiver. As permitted by law, each of us, you and Prefitara, will bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative proceeding.

Opt-out. To opt out of arbitration within 30 days of first accepting these Terms, email [email protected] using the subject line "Arbitration Opt-Out" and giving your name and mobile number.

Governing law. These Terms are subject to the Federal Arbitration Act and to the law of the state of The Nelson M Group LLC's principal place of business, disregarding conflict-of-law rules. Other than as the arbitration clause offers, courts of that state, state and federal, have exclusive jurisdiction.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. At our discretion we can suspend or terminate access, including for violations of these Terms. Provisions that are meant to outlast termination (disclaimers, limitation of liability, indemnification, and disputes among them) will do so.

15Changes

We may update these Terms. We will post the new version with a new "Last updated" date. If you continue to use the Services after the effective date, you accept the updated Terms. For material changes, we will provide notice as mandated by law.

16General

These Terms, the Privacy Policy, and the SMS Terms make up the whole agreement between you and us on this subject. An unenforceable part does not affect the remainder, and our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of the business.
